Software License Agreement

Effective Date: January 1, 2024

PlayTow Proprietary License

This software and accompanying materials (the "Software") are proprietary to PlayTow.

1. Grant of License

Subject to your compliance with this Agreement, PlayTow grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Software on your personal devices
Use the Software for personal or internal business purposes
Use the Software in accordance with any documentation provided

2. Restrictions

You may not, and may not permit others to:

Sell, sublicense, redistribute, or otherwise make the Software available to third parties, except as expressly authorized in writing by PlayTow
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law
Modify, adapt, translate, or create derivative works based upon the Software
Remove, alter, or obscure any proprietary notices on the Software
Use the Software for any illegal or unauthorized purpose
Circumvent or disable any security or technological features of the Software

3. Intellectual Property Rights

The Software is licensed, not sold. PlayTow and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein.

This Agreement does not grant you any rights to trademarks, service marks, or trade names of PlayTow.

4. Third-Party Components

The Software may include or depend on third-party components that are licensed under their own terms. These components are subject to their respective licenses and not this Agreement.

For information about third-party components and their licenses, please refer to the ThirdPartyNotices.txt file included with the Software installation.

5. Updates and Support

PlayTow may, but is not obligated to, provide updates, upgrades, bug fixes, or technical support for the Software.

Any updates or new versions provided to you shall be subject to this Agreement unless accompanied by a separate license agreement.

6. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

PlayTow may terminate this Agreement at any time for any reason with or without notice.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

PlayTow disclaims all warranties, including but not limited to:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness of the Software
That the Software will be uninterrupted or error-free

You assume all risk and responsibility for the selection, use, and results obtained from the Software.

8. Limitation of Liability

IN NO EVENT SHALL PLAYTOW BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY.

This includes, but is not limited to:

Direct, indirect, incidental, special, or consequential damages
Lost profits, revenue, data, or use
Cost of procurement of substitute goods or services
Business interruption
Any damages arising from the use or inability to use the Software

This limitation applies whether in an action of contract, tort, or otherwise, even if PlayTow has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

9. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You shall not export or re-export the Software, directly or indirectly, to any countries that are subject to export restrictions.

10. Data Collection

This Software does not collect, transmit, or store any personal data or usage information on external servers. All data processing occurs locally on your devices.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction.

12. General Provisions

Entire Agreement

This Agreement constitutes the entire agreement between you and PlayTow regarding the Software and supersedes all prior agreements.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any provision of this Agreement shall be deemed or constitute a waiver of any other provision.

Assignment

You may not assign or transfer this Agreement or any rights granted hereunder without the prior written consent of PlayTow.

Acknowledgment

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

If you do not agree to these terms, do not install or use the Software.
